Affiliate Program Terms – Zeeneo

The purpose of these Affiliate Terms is to define:

• the conditions for joining the Zeeneo affiliate program;
• the terms for calculating, validating and paying commissions;
• the respective rights and obligations of Zeeneo and the Affiliate;
• the conditions for terminating and modifying the program.

Registering for the Zeeneo affiliate program, which is done through the FirstPromoter platform, implies full, complete and unreserved acceptance of these Affiliate Terms. The Affiliate acknowledges having read them and agrees to comply with them.

If the Affiliate disagrees with all or part of these Affiliate Terms, the Affiliate must not register for the program or must immediately stop using its services.

To join the Zeeneo affiliate program, the Affiliate must:

• be of legal age (18 years or older) or provide proof of parental consent;
• have a valid email address and a payment method supported by FirstPromoter (bank transfer or PayPal);
• provide accurate, complete and up-to-date information when registering;
• comply with the laws applicable in their country of residence, in particular tax laws.

Zeeneo reserves the right to refuse or terminate the registration of any Affiliate who does not meet these requirements, without having to justify its decision and without any compensation being owed.

4.1 Commission amount. For each referred user who becomes a paying subscriber through the Affiliate's link, the Affiliate receives: (a) 50% of the first month's subscription amount and then (b) a 30% recurring commission on each subsequent subscription month, for as long as the referred user remains subscribed (“for life”). The recurring commission stops as soon as the referred user cancels or interrupts their subscription.

4.2 Validation requirements. A commission (first month or recurring) is validated and paid only if:

• the referred user signed up for Zeeneo through the affiliate link tracked by FirstPromoter;
• the corresponding subscription month was actually paid by the referred user and was not refunded during the withdrawal period or for any other reason;
• no fraudulent behavior was detected (self-referral, fake accounts, incentivized traffic, etc. — see Section 6).

4.3 Payment. Validated commissions are paid to the Affiliate by FirstPromoter on the 10th of each month, subject to reaching a minimum threshold of €50. Payments are made by bank transfer (SEPA) or PayPal, depending on the method chosen by the Affiliate in their FirstPromoter dashboard.

4.4 Refunds and cancellations. If the referred user is refunded in full or in part, the corresponding commission is canceled and deducted from future payments. If the balance becomes negative, Zeeneo reserves the right to claim reimbursement of any amounts unduly received.

4.5 Taxes. The Affiliate is solely responsible for declaring the commissions received for tax and social security purposes. Zeeneo cannot be held liable for any failure by the Affiliate to declare or pay taxes or social security contributions.

People who sign up for Zeeneo through an affiliate link automatically receive a promotional discount on their first month of subscription, the amount of which may vary depending on the promotional campaigns in effect. This discount is applied without the need to enter a promo code.

Zeeneo reserves the right to modify, suspend or withdraw this discount at any time and without notice.

The Affiliate agrees to promote Zeeneo in a fair and honest manner and in compliance with applicable law. The following practices in particular are prohibited and will result in the immediate suspension of the account and the cancellation of the related commissions:

• self-referral (signing up oneself, or through a relative or friend using the same payment card / IP address / mailing address);
• creating fake accounts, using bots, scripts or any automated system to generate clicks or sign-ups;
• sending spam by email, SMS, private messaging or unsolicited comments;
• the purchase of paid advertising on the “Zeeneo” brand (Google Ads, Bing Ads, Meta Ads, etc.) without prior written authorization from Zeeneo;
• publishing false, misleading or defamatory information about Zeeneo, its competitors or the services offered;
• unauthorized use of trademarks, logos or protected content belonging to Zeeneo or to third parties;
• any practice that constitutes incentivized traffic that has not been approved in advance (cashback, contests, services exchanged for sign-ups, etc.).

The Affiliate acknowledges that breaches of these obligations constitute serious misconduct justifying the immediate termination of the account, the retroactive cancellation of all commissions concerned and, where applicable, legal action.

All graphic, textual, audio or video elements made available by Zeeneo (logos, visuals, banners, videos, slogans, etc.) are the exclusive property of Zeeneo or its partners. Zeeneo grants the Affiliate, for the sole duration of their registration in the program, a non-exclusive, non-transferable and revocable license to use these elements strictly for the purpose of promoting Zeeneo.

Any misuse, modification or use outside the scope of the affiliate program is strictly prohibited and exposes the Affiliate to infringement proceedings.

8.1 Right of unilateral modification. Zeeneo expressly reserves the right, at any time, without notice and regardless of the circumstances, to:

• modify these Affiliate Terms, in whole or in part;
• modify the rate, calculation method, duration or payment terms of the commissions;
• modify the eligibility requirements or the obligations placed on Affiliates;
• modify, suspend, restrict or discontinue the affiliate program in whole or in part, including permanently.

The new terms take effect as soon as they are published at https://zeeneoapp.com/pages/legal/affiliate-terms.php. It is the Affiliate's responsibility to review these Affiliate Terms regularly. Continued participation in the program after a modification has been published constitutes acceptance of the new terms.

8.2 Non-retroactivity of commissions already earned. As an exception to the principle above, and in order to protect the trust of Affiliates, commissions already earned at the time of a modification remain due to the Affiliate under the terms in effect at the time they were earned. Commissions are considered “earned” when:

• they were generated by referred users who signed up through the affiliate link before the effective date of the modification;
• and the related first subscription payment was actually collected by Zeeneo before that same date;
• and they have not been canceled due to a refund or fraud (see Sections 4.4 and 6).

The new terms, however, apply without exception to all commissions generated after the effective date of the modification, including for referred users who signed up before that date but whose subscription begins after it.

8.3 Discontinuation of the program. If the affiliate program is discontinued entirely, Zeeneo undertakes to pay each Affiliate, under the conditions set out in Section 4, all commissions earned and not yet paid as of the discontinuation date, provided that the minimum payout threshold has been reached. No additional compensation may be claimed from Zeeneo for the interruption of the program.

Clicks, sign-ups and conversions are tracked by the third-party platform FirstPromoter. The Affiliate acknowledges and agrees that:

• the statistics provided by FirstPromoter shall be authoritative between the parties for the calculation of commissions;
• in the event of a technical incident at FirstPromoter (loss of cookies, outage, etc.), Zeeneo cannot be held liable for commissions not recorded due to a tracking failure;
• the Affiliate's personal data is collected and processed by FirstPromoter under its own privacy policy, which the Affiliate is invited to consult.

Zeeneo also processes the Affiliate's data in accordance with its Privacy Policy and the General Data Protection Regulation (GDPR).

Zeeneo makes every effort to ensure the availability and reliability of the affiliate program. However, Zeeneo cannot be held liable for:

• any temporary or prolonged unavailability of the tracking service or the FirstPromoter platform;
• any loss of revenue, profits, data or any other indirect loss suffered by the Affiliate;
• the content published by the Affiliate as part of their promotion of Zeeneo, for which the Affiliate is solely responsible.

In any event, should Zeeneo's liability be established, it shall be limited to the amount of commissions actually received by the Affiliate during the twelve (12) months preceding the event giving rise to the dispute.

11.1 Term. The affiliate program is entered into for an indefinite term starting from the validation of the Affiliate's registration.

11.2 Termination by the Affiliate. The Affiliate may terminate their participation in the program at any time through their FirstPromoter dashboard or by contacting Zeeneo. Commissions already earned remain due in accordance with Sections 4 and 8.2.

11.3 Termination by Zeeneo. Zeeneo may, at any time and without notice, terminate an Affiliate's registration in the event of a breach of any of the obligations set out in these Affiliate Terms, in particular those of Section 6 (prohibited practices). In that case, all commissions not yet paid may be canceled, without prejudice to any other right or remedy available to Zeeneo.

These Affiliate Terms are governed by French law.

In the event of a dispute relating to the interpretation or performance of these Affiliate Terms, and failing an amicable resolution, the competent courts shall be those of Strasbourg, unless mandatory legal provisions provide otherwise.
